A bit high on the price for my taste. Check the Kelly blue book value and use that to talk the price down if you want the bike. On the "ticking" sound, without taking the top end apart just use your own judgement. Your guess is as good as anyone's.
If you want it, buy it, ride it to death, then buy a newer one.
